Special Called Meeting of the SVHS Membership – Bylaw Revisions
A VOTE BY THE MEMBERSHIP TO APPROVE PROPOSED CHANGES TO THE SVHS BYLAWS WILL BE HELD AT A SPECIAL CALLED MEETING ON TUESDAY, APRIL 14, 2026 AT 7 PM AT THE OLD SEWICKLEY POST OFFICE BUILDING AT 200 BROAD STREET, SEWICKLEY, PA 15143.

Over the past several months, the Board of Directors and the Bylaws Ad Hoc Committee of the Sewickley Valley Historical Society (George Berry, III; Robin Bolea; Palmira Gerlach; Susan Holton; Mary Beth Pastorius; Jay West; Amanda Schaffer, ex officio) has undertaken, with legal counsel, a thoughtful and comprehensive review of the Society’s Bylaws to ensure they are in compliance with PA Nonprofit Law, reflect how we operate today, and support where we are headed tomorrow.
The proposed revisions clarify procedures, strengthen governance safeguards, improve transparency, and modernize the document so it is easier to understand and apply. These updates are designed to protect the Society’s mission, reinforce the Membership’s oversight role, and provide a strong framework for future leadership. In short, this revision is about positioning the Society for long-term success.
The Committee’s proposed changes were presented to the Board and unanimously approved at the February 2026 Board meeting.
The current Bylaws state the following:
ARTICLE XI, AMENDMENTS: Amendments to these Bylaws may be made by two-thirds of the membership present and voting at any regular or special meeting at least fifteen (15) days after notification of such amendment.
Copies of the Bylaws and their revisions have been distributed to members.
